1. Introduction

Welcome to allezcar ("we", "our", or "us"). allezcar is a Canadian online marketplace that connects buyers and sellers of used vehicles, lease takeovers, and new cars across Canada.

By accessing or using the allezcar platform at allezcar.ca (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Platform. These Terms constitute a legally binding agreement between you and allezcar Technologies Inc., a corporation incorporated in Ontario, Canada.

2. Use of Service

You must be at least 18 years of age and a resident of Canada to use allezcar. By using the Platform, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use of your account.

allezcar reserves the right to suspend or terminate any account at any time, with or without notice, if we reasonably believe the account is being used in violation of these Terms or applicable law.

3. Listings and Accuracy

allezcar aggregates vehicle listings from various third-party sources — including dealer inventory data licensed from MarketCheck, a third-party vehicle data provider — as well as listings submitted directly by users. Dealer listings are updated periodically and may not reflect current availability or pricing. While we strive to present accurate and current information, we do not guarantee the accuracy, completeness, or timeliness of any listing.

Sellers are solely responsible for the accuracy of the information they submit. Sellers represent and warrant that:

• They have the right to sell, lease, or transfer the listed vehicle.
• All pricing, mileage, condition, and specification information is accurate and not misleading.
• The vehicle is not subject to undisclosed liens, encumbrances, or outstanding recalls that affect safety.
• Photos submitted are genuine and represent the actual vehicle being listed.

allezcar reserves the right to remove any listing that violates these Terms or that we reasonably believe contains false, misleading, or fraudulent information.

4. User Accounts

Creating an account on allezcar is free. You agree to provide accurate, current, and complete information when registering and to update your information as necessary.

Accounts are personal and non-transferable. You may not share your account with third parties or use another user's account without their explicit written consent.

We may require identity or dealer verification before activating certain account features. Submission of false verification documents is a violation of these Terms and may result in immediate account termination and referral to relevant authorities.

5. Credits System

allezcar uses a credits system to enable certain actions on the Platform, such as unlocking seller contact information. Credits are earned at no cost through promotional activities (e.g., following our social media accounts, completing a partner referral). Credits are never sold for money and no purchase is required to use the Platform.

5.1 Earning Credits

New accounts receive a welcome credit bonus. Additional credits can be earned by completing activities described on the Platform (such as following allezcar's social media pages or obtaining a free insurance quote through a partner). The available activities and credit amounts may change at any time without notice.

5.2 Credit Expiry

Credits earned through promotional activities do not expire as long as your account remains in good standing. Promotional or bonus credits may have an expiry date as disclosed at the time of award.

5.3 Account Termination

Upon termination of your account for any reason, any remaining credits are forfeited. As credits have no monetary value and are not purchased, no compensation is owed upon termination.

6. Contact Unlocking

Certain listings on allezcar require the use of credits to view seller contact details (phone number and email address). By unlocking a listing's contact information, you agree that:

• You will use the contact information solely for the purpose of inquiring about the specific listed vehicle.
• You will not harvest, compile, or redistribute contact information obtained through the Platform.
• You will not use the contact information for unsolicited commercial communications, spam, or any form of harassment.
• Each unlock is tied to your account and is non-transferable.

allezcar is not responsible for the outcome of transactions between buyers and sellers. We facilitate introductions but are not a party to any vehicle sale or lease agreement.

7. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using allezcar, you consent to the collection and use of your personal information as described in our Privacy Policy.

allezcar complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. We take reasonable technical and organizational measures to protect your personal information from unauthorized access, disclosure, or misuse.

8. Prohibited Conduct

You agree not to engage in any of the following while using the Platform:

• Posting fraudulent, misleading, or fictitious vehicle listings.
• Impersonating any person or entity, or falsely claiming affiliation with a dealership or organization.
• Scraping, crawling, or systematically extracting data from the Platform without our prior written consent.
• Attempting to gain unauthorized access to any portion of the Platform or its underlying infrastructure.
• Interfering with or disrupting the integrity or performance of the Platform.
• Using the Platform to transmit unsolicited messages, spam, or malware.
• Listing vehicles that are stolen, subject to undisclosed salvage titles, or otherwise encumbered without disclosure.
• Engaging in price gouging, bait-and-switch tactics, or other deceptive sales practices.
• Circumventing or attempting to circumvent the credits system or any access controls.
• Violating any applicable federal, provincial, or local law or regulation.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

allezcar does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Platform.

Monthly payment and loan estimates displayed on the Platform are for informational purposes only and do not constitute a financing offer or commitment. Actual financing terms depend on your credit profile, lender policies, and other factors. Always consult a qualified financial professional before making any purchasing decision.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, allezcar SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada. You hereby irrevocably consent to such jurisdiction and waive any objection to venue in such courts.

Quebec residents: To the extent that any provision of these Terms conflicts with the mandatory provisions of the Consumer Protection Act (CQLR c P-40.1) or the Act respecting the protection of personal information in the private sector (Law 25 / Loi 25), such mandatory provisions prevail and the conflicting provision is modified or severed to the minimum extent necessary to comply. Nothing in these Terms limits the rights granted to Quebec consumers under applicable Quebec law.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

11. Latent Defects / Vices Cachés

Vehicle transactions completed through introductions made on allezcar are governed by the laws of the applicable province, including the Quebec Civil Code provisions on latent defects (vices cachés, Art. 1726 CCQ) where applicable. allezcar, as a marketplace intermediary, is not a party to any vehicle sale or lease agreement and makes no warranty as to the condition of any vehicle listed on the Platform.

Buyers are strongly encouraged to:

• Obtain a pre-purchase inspection from a licensed mechanic before completing any transaction.
• Request a vehicle history report (e.g., Carfax Canada) to verify accident history, odometer, and title status.
• Verify outstanding safety recalls with Transport Canada (« tc.canada.ca/recalls »).

Private sellers in Quebec may disclaim the legal warranty for latent defects by stating “sold without legal warranty, at the buyer's risk” (vendu sans garantie légale, aux risques de l'acheteur) in their listing description. Buyers should verify this before purchasing.
